These Terms and Conditions ("Terms") govern your access to and use of the Guestlist mobile application, website, and related services (collectively, the "Service") provided by ADMV Inc., a Delaware corporation ("Company", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. ELIGIBILITY

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• you are at least 18 years old;

• you have the legal capacity to enter into a binding agreement; and

• your use of the Service does not violate any applicable laws or regulations.

2. ACCOUNT REGISTRATION

You may create an account using a phone number, email address, or third-party authentication provider.

You agree to:

• provide accurate, current, and complete information;

• maintain the security of your account credentials;

• accept responsibility for all activities under your account.

You must notify us immediately at hello@getguestlist.app if you suspect unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. DESCRIPTION OF THE SERVICE

Guestlist is an event and guest management platform that enables users to:

• create and manage events and guest lists;

• send invitations and track RSVPs;

• communicate with guests via messaging tools;

• check in attendees using QR codes;

• share event-related content;

• access premium features via paid upgrades.

We may modify or discontinue features at any time.

4. MESSAGING CONSENT AND COMMUNICATIONS

4.1 Consent to Receive Messages

By providing your phone number and opting in through the Service, you provide prior express written consent to receive communications from ADMV Inc. and from events you engage with, including:

• SMS and MMS messages

• Messaging platform communications (e.g., WhatsApp where applicable)

• Push notifications

These messages may include:

• event invitations and updates

• reminders and logistical information

• account and service notifications

• promotional content (where permitted)

You acknowledge:

• Message frequency varies based on usage

• Standard message and data rates may apply

• Consent is not a condition of purchase

4.2 Opt-Out Instructions

You may opt out of SMS communications at any time by replying:

• STOP to unsubscribe

• HELP for assistance

You may also contact us at hello@getguestlist.app.

After opting out, you may receive a final confirmation message. You will not receive further SMS messages unless you opt in again.

4.3 Messaging by Event Hosts

If you use Guestlist to send messages to guests, you represent and warrant that:

• you have obtained prior express consent from each recipient;

• such consent is documented and can be provided upon request;

• recipients have not opted out of receiving messages;

• you clearly identify yourself or your event in communications.

You agree that you will NOT:

• send messages to purchased, rented, or scraped contact lists;

• send unsolicited or misleading communications;

• violate applicable telecommunications or privacy laws.

You are solely responsible for all communications you send through the Service.

4.4 Enforcement and Monitoring

We reserve the right to:

• monitor messaging activity for compliance;

• restrict or block message delivery;

• suspend or terminate accounts engaged in abusive or non-compliant behavior.

5. USER CONTENT

"User Content" includes any data, text, images, videos, guest information, or materials you upload.

Ownership

You retain ownership of your User Content.

License

You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, and process your content solely to operate and improve the Service.

Responsibility

You are solely responsible for your User Content and represent that:

• you have all necessary rights to use and share it;

• it does not violate any law or third-party rights.

6. GUEST DATA AND PRIVACY ROLE

When you upload or input guest data, you acknowledge:

• you are the data controller of that information;

• ADMV Inc. acts as a service provider / processor on your behalf;

• you have obtained all required consents to collect and use such data.

We are not responsible for your handling of guest data outside the Service.

7. ACCEPTABLE USE

You agree not to:

• violate any laws or regulations;

• send unsolicited or unlawful communications;

• impersonate others or misrepresent affiliations;

• access systems without authorization;

• reverse engineer or disrupt the Service;

• use the Service for spam or abusive purposes.

8. IN-APP PURCHASES

Premium features may be offered via app stores.

Purchases are:

• processed by third-party platforms;

• subject to their terms and refund policies;

• non-transferable.

We may change pricing at any time.

9. INTELLECTUAL PROPERTY

All Service-related intellectual property (excluding User Content) is owned by ADMV Inc. or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Service.

10. THIRD-PARTY SERVICES

The Service may integrate with third-party providers (e.g., messaging, analytics, payments).

We are not responsible for third-party services, and your use of them is subject to their terms.

11. PRIVACY

Your use of the Service is governed by our Privacy Policy:

By using the Service, you consent to our data practices.

12. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee:

• uninterrupted or error-free operation;

• that the Service will meet your expectations;

• that communications will always be delivered.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages.

• Our total liability will not exceed the greater of:

  • the amount you paid in the past 12 months; or

  • $50.

14. INDEMNIFICATION

You agree to indemnify and hold harmless ADMV Inc. from any claims arising from:

• your use of the Service;

• your User Content;

• your communications with guests;

• your violation of laws or these Terms.

15. TERMINATION

We may suspend or terminate your account at any time.

You may terminate your account through the app.

Upon termination:

• your right to use the Service ends immediately;

• certain provisions survive termination.

16. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Delaware.

Disputes will be resolved through binding arbitration, except where prohibited by law.

You waive participation in class actions.

17. CHANGES TO TERMS

We may update these Terms at any time.

Continued use of the Service after updates constitutes acceptance.

19. MISCELLANEOUS

• These Terms constitute the entire agreement between you and us.

• If any provision is found unenforceable, the remainder remains in effect.

• Our failure to enforce any right does not waive it.
